New Issue Of Securities (Chapter 6 Of Listing Requirements) : Fund Raising

Reference is made to the Company’s earlier announcements dated 30 October 2025 and 5 November 2025 (“Earlier Announcements”) in relation to the Proposed Private Placement. Unless stated otherwise, abbreviations and definitions used throughout this announcement shall bear the same meaning as those defined in the Earlier Announcements.

On behalf of the Board, Malacca Securities wishes to announce that Bursa Securities had vide its letter dated 7 November 2025, resolved to approve the listing and quotation of up to 51,562,037 new FSBM Shares to be issued pursuant to the Proposed Private Placement, subject to the following conditions:-

i) FSBM and Malacca Securities must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Private Placement;

ii) In the event the Proposed Private Placement is not completed before the next AGM, Malacca Securities is required to furnish Bursa Securities with a certified true copy of the resolution passed by the shareholders at the forthcoming AGM for the authority to issue shares pursuant to the Act before the listing of the Placement Shares;

iii) FSBM and Malacca Securities are required to inform Bursa Securities upon completion of the Proposed Private Placement; and

iv) FSBM is required to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Private Placement is completed.
